B.C. executive reports himself for Securities Act violations, agrees to pay $25K penalty

The CEO of a B.C.-based mining company has agreed to pay the provincial financial market regulator $25,000 over misconduct he self-reported.

Andrew Pollard is the CEO of Blackrock Silver Corp., a junior mineral exploration company that is traded on the TSX Venture and Frankfurt Stock exchanges, according to the B.C. Securities Commission.

Because of his role, he is considered a company “insider” under the provincial Securities Act, and must report all changes to his ownership or control over Blackrock Silver shares within five days.

According to a settlement agreement with the BCSC, which was signed on March 31 and published online Friday, Pollard made 268 transactions involving the company’s shares over a six-year period from July 2019 through June 2025.

He failed to report 161 of those transactions—involving shares valued at more than $950,000—within the five-day time limit, according to the agreement.

“Mr. Pollard subsequently made all the required filings on (the System for Electronic Disclosure by Insiders) and self-reported his failures from the review period on Aug. 13, 2025,” the document reads.

In addition to reporting himself, Pollard paid $5,700 in late fees and “fully co-operated” with BCSC staff.

The regulator has a policy of considering co-operation in enforcement matters.

“Unprompted by staff, Mr. Pollard also completed a course of study on the duties and responsibilities of directors and officers of public companies,” the settlement agreement reads.

Pollard has no prior history of securities misconduct, the document notes.
